By accessing our website (ce58cyber.com), registering for a workshop or event, joining the CyberFortress or Iron Dome community, or purchasing any product or service from Cerium Cyber, LLC ("Cerium Cyber," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
Use of this website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. To the extent you execute a separate Professional Services Agreement, Statement of Work, or Master Services Agreement with Cerium Cyber, that agreement controls to the extent of any conflict with these Terms.
Cerium Cyber, LLC is a cybersecurity coaching and consulting company based in the State of Florida, United States. We provide group coaching communities, workshops, courses, digital content, and related educational resources for small and medium-sized business owners and professionals.

Cerium Cyber grants you a limited, non-exclusive, non-transferable, revocable license to access and use our website and educational materials solely for your own internal business purposes and subject to these Terms. This license does not include the right to resell, sublicense, distribute, reproduce, publicly display, or create derivative works from any Cerium Cyber content without our prior written consent.
This license terminates automatically if you violate any of these Terms or if Cerium Cyber revokes it in writing.
Cerium Cyber offers the following:
To access certain services, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Membership access is personal and non-transferable. Sharing login credentials or community access with non-members is not permitted and may result in account termination without refund.
Workshops and events: Free workshops require no payment. Paid events are non-refundable unless the event is canceled by Cerium Cyber.
Iron Dome membership: Billed monthly at the rate in effect at time of enrollment. Founder's Circle pricing ($497/mo) is locked for the life of your continuous membership — leave at any time, and if you return, the locked rate no longer applies. Cancellation takes effect at the end of the current billing period. No partial-month refunds.
Iron Dome PRO: Billed monthly at $1,997/mo or as specified at enrollment. Iron Dome PRO members who cancel within the first 7 days of a new enrollment will receive a prorated refund for unused days in that first billing period. After the initial 7 days, no refunds are issued for the current billing period. Scope changes or downgrades take effect at the next billing cycle.
Digital products: All sales of digital products are final. If you experience a technical issue accessing a product, contact us and we will resolve it.
1:1 coaching: Scope and payment terms are governed by the individual service agreement executed at time of engagement. In the absence of a separate agreement: sessions canceled with less than 24 hours' notice are charged in full; sessions canceled with more than 24 hours' notice may be rescheduled without penalty. Prepaid session blocks are non-refundable once a session has been completed.
Refund requests: For circumstances not covered above, contact [email protected] within 7 days of purchase and we will review on a case-by-case basis.
By using our services, you consent to receive electronic communications from Cerium Cyber regarding your account, purchases, membership status, and service updates. These communications may be sent by email or through the community platform. You may manage marketing communication preferences through your account settings or by using the unsubscribe link in any marketing email.

Violations may result in immediate termination of access without refund.
By using our services, you represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties, including the U.S. Treasury Department's Specially Designated Nationals list or the U.S. Department of Commerce's Denied Persons List.
You agree not to use or access Cerium Cyber services in violation of any applicable U.S. export control laws or economic sanctions regulations administered by the Office of Foreign Assets Control (OFAC).
Members of Cerium Cyber communities may discuss sensitive business information including security incidents, security architecture, vendor contracts, audit findings, and compliance gaps. You are solely responsible for ensuring you have the legal authority to disclose any information you share in the community.
Members should not post confidential, proprietary, export-controlled, regulated, or personally identifiable information of third parties unless expressly authorized to do so. Cerium Cyber is not responsible for disclosures made voluntarily by members in the community.
If you receive confidential information about another member through participation in our community or coaching programs, you agree to treat that information with reasonable care and not to disclose it to third parties without that member's consent.
Cerium Cyber reserves the right — at its sole discretion, with or without notice, and without liability — to remove, hide, or modify any community post, comment, or content that violates these Terms or that we determine is harmful, off-topic, or inconsistent with our community standards. We may suspend or permanently remove any member from the community for violations of these Terms or for any other conduct we determine is harmful to the community.
We are not obligated to monitor all community content, and we make no guarantee that all content in the community is accurate, complete, or appropriate for your situation.
You retain ownership of content you post to Cerium Cyber communities, forums, or platforms ("User Content"). By submitting User Content, you grant Cerium Cyber a worldwide, royalty-free, non-exclusive, sublicensable license to host, display, reproduce, distribute, and transmit your User Content solely as necessary to operate and provide the Services.
You represent that you have the right to grant this license and that your User Content does not violate any law or third-party rights. Cerium Cyber reserves the right to remove User Content that violates these Terms.
Cerium Cyber respects intellectual property rights. If you believe that content on our platform infringes your copyright, please send a written notice to [email protected] that includes:
Upon receipt of a valid DMCA notice, we will remove or disable access to the allegedly infringing content and notify the uploader. The uploader may submit a counter-notice if they believe the content was removed in error. We reserve the right to terminate accounts of repeat infringers.
All content produced by Cerium Cyber — including course materials, checklists, templates, frameworks, the Lifecycle Blueprint, the Problem-Solving Series, the CyberFortress and Iron Dome community content, tools, and the Cerium Cyber brand — is the property of Cerium Cyber, LLC and is protected by copyright and other applicable laws.
The license granted in Section 3 above permits you to use our content for your own internal business purposes only. You may not reproduce, distribute, publish, or create derivative works from our content without prior written consent.
By participating in Cerium Cyber communities, workshops, or programs, you may be invited to provide a testimonial or case study. Submission of a testimonial is voluntary. By submitting a testimonial, you grant Cerium Cyber a non-exclusive, royalty-free, perpetual license to use your name, general business type, and the content of your testimonial in marketing materials, on our website, and on social media. You may withdraw this consent at any time by contacting [email protected]; previously published materials may remain in use.
We will not misrepresent your results or use your testimonial in a misleading context.
Nature of our services. All content, coaching, workshops, courses, checklists, templates, and community guidance provided by Cerium Cyber is educational and informational in nature. Nothing in our services constitutes legal, accounting, tax, insurance, or regulatory advice, and no use of our services creates an attorney-client, accountant-client, or other professional advisory relationship unless Cerium Cyber has executed a separate written agreement expressly establishing such a relationship.
No compliance guarantee. Completion of any Cerium Cyber program, implementation of any recommendation, or use of our templates, AI tools, checklists, or educational materials does not constitute certification or guarantee compliance with NIST CSF, CIS Controls, HIPAA, PCI DSS, ISO 27001, SOC 2, CMMC, FTC Safeguards Rule, or any other governmental or industry standard unless separately stated in writing by Cerium Cyber.
No security guarantee. Implementing any security measure — including every recommendation, framework, checklist, template, or tool provided by Cerium Cyber — does not guarantee that your systems, data, networks, or business will be protected against cyberattack, breach, unauthorized access, ransomware, or any other security incident. Cerium Cyber makes no warranty or representation, express or implied, that following our guidance will prevent a security incident, satisfy any regulatory requirement, achieve any specific security standard, or make your business compliant with any law or framework.
You are responsible for your security. You remain solely responsible for assessing, implementing, and maintaining security measures appropriate for your specific business, industry, risk profile, and regulatory environment. Our coaching is a complement to — not a substitute for — qualified cybersecurity professionals, legal counsel, and appropriate insurance coverage.
AI-generated content. Cerium Cyber may use AI tools to assist in producing educational content, recommendations, or resources. AI-generated recommendations and content should be independently reviewed before implementation. Cerium Cyber does not warrant the accuracy, completeness, or fitness for purpose of AI-generated content. You assume all risk associated with reliance on AI-generated output.
Incident response. If you experience a security incident, you should contact a qualified incident response professional, legal counsel, and your cyber insurance provider immediately. Cerium Cyber coaching resources are not a substitute for professional incident response.
We do not guarantee uninterrupted availability of our website, community platform, AI services, or third-party integrations. Cerium Cyber relies on third-party platforms including GoHighLevel, Stripe, Anthropic, Google, Microsoft Teams, and Zoom to deliver portions of our services. Cerium Cyber is not responsible for outages, errors, data loss, or failures of any third-party platform, and we do not warrant the availability or performance of any third-party service.
We will make reasonable efforts to notify members of planned maintenance or known outages affecting our services.
Unless Cerium Cyber has executed a separate written professional services or consulting agreement with you, no engagement with Cerium Cyber — including 1:1 coaching calls — creates a client relationship for the purposes of professional cybersecurity services, legal services, or compliance advisory. Statements made by Cerium Cyber coaches in community posts, group calls, or coaching sessions are educational opinions, not professional advice specific to your circumstances.
Coaches, subject matter experts, and other service providers delivering content or coaching on behalf of Cerium Cyber are independent contractors unless otherwise specified in writing. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Cerium Cyber and any coach, contractor, or third-party service provider.
OUR SERVICES, CONTENT, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. USE OF OUR SERVICES IS AT YOUR OWN RISK.
To the fullest extent permitted by law, Cerium Cyber, LLC and its owners, employees, coaches, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services, including but not limited to loss of data, loss of business, security incidents, or lost profits, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the lesser of (a) $100 or (b) the amount you paid to Cerium Cyber in the 30 days preceding the claim.
You agree to indemnify and hold harmless Cerium Cyber, LLC and its affiliates, officers, coaches, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
Cerium Cyber is not liable for any failure or delay in performance resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, internet or telecommunications outages, power failures, or third-party platform failures. In such events, we will make reasonable efforts to reschedule or provide alternative access to affected services.
Agreement to arbitrate. You and Cerium Cyber agree that any dispute, claim, or controversy arising from or relating to these Terms or your use of our services — including any dispute about the validity or enforceability of this arbitration clause — will be resolved by binding individual arbitration rather than in court, except as set forth below.
CLASS ACTION WAIVER. YOU AND CERIUM CYBER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. NO ARBITRATION OR OTHER PROCEEDING MAY BE CONSOLIDATED WITH ANOTHER WITHOUT THE WRITTEN CONSENT OF ALL PARTIES.
Arbitration rules. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, which are available at adr.org. The arbitration will take place in Florida or by telephone/video at your election for claims under $10,000. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened misappropriation of intellectual property or confidential information. Small claims court actions for claims within the small claims court's jurisdiction are also excluded from arbitration.
Opt-out. You may opt out of arbitration by sending written notice to [email protected] within 30 days of first accepting these Terms. Opt-out applies only to the arbitration clause; all other Terms remain in effect.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Cerium Cyber may assign these Terms, in whole or in part, as part of a merger, acquisition, sale of assets, or operation of law, without your consent and without notice, provided that the assignee assumes all obligations under these Terms.
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions of these Terms will continue in full force and effect.
These Terms, together with our Privacy Policy and any executed consulting or professional services agreement, constitute the entire agreement between you and Cerium Cyber with respect to your use of our services and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the same subject matter.
Failure by Cerium Cyber to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce that provision or any other provision in the future. No waiver is effective unless made in writing and signed by an authorized representative of Cerium Cyber.
The following provisions survive termination or expiration of these Terms for any reason: intellectual property (Section 14), confidentiality (Section 10), indemnification (Section 21), limitation of liability (Section 20), warranty disclaimer (Section 19), dispute resolution and arbitration (Section 23), payment obligations for amounts already due, and any other provisions that by their nature should survive termination.
We reserve the right to suspend or terminate your account and access to our services at any time, with or without notice, for violation of these Terms or for any other reason at our discretion. Upon termination, your right to access paid content ceases immediately. Sections designated to survive termination (Section 28) remain in effect.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. To the extent any dispute proceeds in court rather than arbitration, you consent to exclusive jurisdiction and venue in the courts of Orange County, Florida.
We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page with a new effective date. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
